I. Important note and contents:

The Board of Directors of Chongqing Changan Automobile Co., Ltd. (hereinafter referred to as “the

Company”) and the directors guarantee that the information contained inthe annual report are free of

false records, misguiding statementsor significant omissions, and assume individual and joint liabilities

for the truthfulness, accuracy and integrity of the annual report.

Mr. Zhang Xinyu, Chen Qing, Wang Chongsheng, Keijin Yamauchi, Toshiaki Hashimoto and

Koichiro Chikaishi, Directors of the Board and independent director, Mr Guo Konghui,Mr Gao Zhikai

were absent; director, Mr. Zhang Xinyu entrusted director, Mr. Li Shouwu and independent director,

Mr. Guo Konghui entrusted independent director, Mr. Xia Donglin, Mr. Gao Zhikai entrusted

independent director, Mr. Wen Zhongyu to attend and vote on their behalf, respectively.

Chairman Mr. Yin Jiaxu, General Manager Mr. Zhao Luchuan and Chief Accountant Mr. Cui

Yunjiang guarantee the truthfulness and completeness of the financial statements of the annual report.

The annual report shall be presented in both Chinese and English, and should there be any conflicting

understanding of the text, the Chinese version shall prevail.
